If your mainboard supports up to 1333mhz front side bus and i945 chipset, it is 100% certain to support any core 2 duo or quad processor. So it would be safe for you to buy that processor. Just remember to apply thermal paste between it & the heatsink

ok, you can run a e8400 in this board, but it will run in "oc-mode" (because of fsb 1333, which is the maximum for this board), which means the pci-e will run at 115 (normal 100).
although this shouldn't be a problem, it can lead into instabilities, and you shouldn't be able to oc which means no more than 3 ghz.

hmmmmm.... if you really need to save money, then do it. to be honestly, i wouldn't recommend it, but some points you have to mind:

-is the psu powerful enough
-update bios to support e8400
-keep in mind: no more than 3ghz, the board will already run in "oc-mode"

@Ocean no dude, no quads supportet on this board

It is unlikely that your motherboards chipset will support C2D as the I945G chipset only supports Pentium 4, Pentium D, Celeron D. Without knowing your Motherboard's manufacturer and model number I'm only guessing though? My suggestion would be to get a cheap I5 or I7 upgrade as even the bottom of the line I5 and I7 procesors would still PWN your old P4 setup! AMD would also be a good way to go if your are on a tight budget!

that's an asrock board, it will support e8400, but as i said above i wouldn't do it... if i were in his position i'd buy...
i5 750 (quad, almost the same price as i5 650)
some good p55 board
and 4gb ddr3 (damn, ram is getting more and more expensive these days, even ddr2)
