I want to upgrade this system;

CPU: Intel Core2Duo E4600 @ 2.4 ghz
Ram: 4GB 2x2 Kingston Value Ram PC2-5300
Motherboard: MSI P6NGM-L
GPU: MSI 460 GTX 768 MB GDDR5
PSU: Ultra LSP 650W

I was thinking of:
1) i3 - 2100 $115
2) Asus P8H67-M LE $100
3) Kingston ValueRAM 8GB (2x4GB) 1333MHz DDR3 $98
which comes out to about $350

Now the question I have is , is that a good upgrade or should I spend an extra $70 and get the i5 - 2500.
Also is it worth 8GB ram or is 4GB ram sufficient as I use my computer to play the latest PC games and also Dolphin and PCSX2 ?

I heard i3 2100 can't be overclocked because it doesn't have letter "k" : i5 2500 (locked) vs i5 2500k (unlocked)
->You should buy i5 2500k
Ram isn't important , 2x2Gb 1333Mhz is ok (Dual Channel do better than single one) .Emulator require a high-end CPU + middle-class GPU

Well either way I'm not overclocking it so taking that into consideration ... So 4GB ram should be sufficient paired up with i5-2500?
My System Specs:

Yup, the most important thing about ram is bus speed , not about how much ram you have :
8gb 1333mhz = 4gb 1333mhz > 8gb 800mhz

Basically I'm asking , faster cpu and less ram or a little slower cpu but more ram?

please go for the i5-2500k...
that are 10-30usd difference between 2500 vs 2500k with the option for oc...
(5euro in germany)

dolphin gives you 5-10fps for only 0,2-0,4ghz OC
which is possible without increasing any voltage and aircooling

4gb is more than enough for most of the games...

look at the benchmarks how much slower the i3 is
i3 (2cores with ht) 3.1ghz
i5 (4cores no ht) 3.3ghz
go after the quadcore

Okay so I think I might not be able to get the i5 ... i3 - 2100 with 4 GB or 8 GB ram ?

This should still be leaps beyond what I have now and should be good for 2 years, till then I'll be in university so I won't be using this computer anymore ...

sell some stuff or wait one month and go after the i5....
the i3 is not enough for 1080p

i5 2500k and 4gb
90$ for the i5 and 50$ saved with 4gb

40$ missing...

I'm not trying to insult you because I know you know what you're talking about but :
A) I don't care for 1080P on PC Gaming, so that's not an issue
B) My monitor's resolution is 1280 x 1024
